2. Acceptance of Terms

By creating an account, accessing or using the Lessn Platform, you acknowledge that you have read, understood and agree to be bound by these Terms & Conditions. If you do not agree, you must not use the Lessn Platform.

3. Nature of Services

Lessn provides a payments orchestration and transaction facilitation platform that enables businesses to aggregate, manage and process business invoices and expenses. Lessn is not a bank, lender, escrow service, trustee, accounting firm or bookkeeping service, and does not provide financial, tax or legal advice.

4. Eligibility, Account Registration & No Lock-In

To use the Lessn Platform, you must be at least 18 years old and operate as a business, trust or sole trader with a valid Australian Business Number (ABN). You represent that you have the authority to bind the entity to these Terms. You warrant that all information provided to Lessn is accurate, complete and up to date.

There is no minimum usage period and no minimum contract term. You are free to start or stop using the Lessn Platform at any time, subject only to settlement of any outstanding amounts and completion of any compliance or dispute processes in progress.

5. Restricted Use & Compliance

You agree not to use the Lessn Platform for: (a) personal, household, or domestic purposes; (b) processing cash advances; (c) illegal or fraudulent activities; or (d) any purpose that violates Card Scheme rules or AML/CTF laws. You must provide all information requested by Lessn to satisfy 'Know Your Customer' (KYC) requirements.

6. Fees & Pricing

Unless otherwise agreed in writing, the following headline fees apply:

• Visa & Mastercard: 1.50% + GST
• American Express: 1.95% + GST

Your applicable fees are displayed in your Lessn Dashboard.

Minimum Fees for Low-Value Transactions:
Lessn incurs fixed costs for compliance, processing and settlement for every transaction. Accordingly, minimum fees apply where transaction values are below AUD $250:

• $0.00 – $150.00: $3.00
• $150.01 – $250.00: $5.00

Monthly Volume Discounts:
Where enabled on your account, volume-based discounted pricing may apply to American Express transactions:

• $300,000 monthly volume: Amex 1.90% + GST, Mastercard & Visa 1.45% + GST
• $500,000 monthly volume: Amex 1.85% + GST, Mastercard & Visa 1.4% + GST
• $1,000,000 monthly volume: Amex 1.80% + GST, Mastercard & Visa 1.35% + GST

Volume is tracked on a calendar month basis. Refunds are deducted from volume totals. If thresholds are not met, pricing reverts to the standard Amex 1.95% + GST, Mastercard & Visa 1.45% + GST the following month.

Pricing Amendments:
Lessn reserves the right to amend pricing by providing not less than ten (10) Business Days’ written notice. Pricing will never exceed the published headline rates.

7. Payment Authorisation & Processing

By submitting an invoice or expense for payment, you provide Lessn with unconditional and irrevocable authority to debit your nominated payment source to settle that transaction. Lessn may decline or delay processing where required for compliance, fraud prevention or risk management purposes.  

8. Settlement Timing

Payments processed before 9:00pm on a Business Day are generally settled between 1:00pm 3:00pm (AEST) on the next Business Day (T+1). Settlement timing is dependent on third-party systems and may be delayed or interrupted due to factors outside Lessn’s control. Settlement times are estimates and may be delayed by bank processing times or compliance checks..

9. Invoice Accuracy & Supplier Disputes

You are responsible for the accuracy of all invoice data and payment instructions. Lessn is not liable for payments made to incorrect accounts due to user error. You acknowledge that Lessn is not responsible for errors relating to invoice amounts, references, overpayments, underpayments or non-payments. These matters must be resolved directly between you and your suppliers or payees.

10. Refunds & Fees

Transactions that are processed by the Client and correctly processed by the Lessn platform are final. Lessn is not responsible for, and has no obligation to, reverse, cancel, or refund such transactions.

11. Chargebacks, Fraud & Misuse

You must not initiate chargebacks without legitimate grounds. Improper or fraudulent chargebacks may constitute dishonest conduct under Australian law and may result in civil recovery, criminal prosecution plus regulatory reporting and liability for all legal, court and recovery costs incurred by Lessn.   

12. Data Privacy and Security

Lessn handles personal information in accordance with its Privacy Policy and the Privacy Act 1988 (Cth).  You must maintain the security of your account credentials and notify Lessn immediately of any unauthorized access.

13. Account Suspension & Termination

Lessn may suspend, restrict or terminate your account immediately where Lessn reasonably believes that:

• you have breached these Terms;
• your account is involved in suspected fraud or unlawful activity;
• you fail to comply with identity verification or AML/CTF requirements;
• continued use of the platform poses a risk to Lessn, its partners or regulators.

You may request account closure at any time, subject to settlement of all outstanding amounts and completion of any compliance reviews, disputes or investigations in progress.

14. Compliance & AUSTRAC Obligations

When applicable, Lessn is to be enrolled with the Australian Transaction Reports and Analysis Centre (AUSTRAC) and will comply with its obligations under the Anti-Money Laundering and Counter-Terrorism Financing Act 2006 (Cth).

You agree to provide all information reasonably required for identity verification, risk assessment, transaction monitoring and ongoing regulatory compliance.

15. System Outages & Force Majeure

Access to the Lessn Platform may be unavailable or limited due to system maintenance, outages, third-party failures (including payment schemes or the Reserve Bank of Australia), natural disasters, regulatory actions, labour disputes or other events beyond Lessn’s reasonable control. Lessn is not liable for any loss arising from such interruptions to the extent permitted by law.

16. Limitation of Liability

To the maximum extent permitted by law, Lessn’s total liability arising from or in connection with the Lessn Platform is limited to the value of the affected transaction or the fees paid by you in the 12 months preceding the claim, whichever is lower. Lessn is not liable for any indirect, incidental, or consequential loss (including loss of profits).

17. Indemnity

You indemnify Lessn and its related parties against all losses, claims and costs arising from your breach of these Terms, misuse of the platform, or unlawful or fraudulent activity.

18. Amendments

Lessn may amend these Terms & Conditions from time to time by publishing updated terms on its Website. Continued use of the Lessn Platform constitutes acceptance of the amended terms.

19. Governing Law

These Terms are governed by the laws of New South Wales, Australia, and each party submits to the non-exclusive jurisdiction of the courts of that State.

20. Dispute Resolution

If a dispute arises, the parties must first attempt to resolve it through good-faith negotiations. If unresolved after 30 calendar days, either party may refer the matter to mediation in the state of New South Wales.

21. Definitions

Account means a Lessn user account created to access the Lessn Platform.

Agreement means these Terms & Conditions, as amended from time to time.

Business Day means a day other than a Saturday, Sunday or public holiday in New South Wales.

Fees means any fees charged by Lessn for use of the Lessn Platform.

Lessn Platform means the software and technology platform operated by Lessn to facilitate payments and invoice processing.

Nominated Payment Source means the payment method authorised by you for processing transactions.

Transaction means any payment processed via the Lessn Platform.
